1. Agreement to Terms
By accessing and using the Mosaic Collective website at themosaic.agency (the “Site”) and our related services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use the Site.
Mosaic Collective (“we”, “our”, “us”) reserves the right to modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms.
2. Services
Mosaic Collective is an influencer marketing agency that connects brands with creators and influencers from Black, Asian, and Minority Ethnic (BAME) communities. Our services include but are not limited to:
- Influencer and creator talent management
- Brand campaign strategy and execution
- Creator matching and roster management
- Content production and creative direction
- Campaign performance reporting and analytics
3. Eligibility
You must be at least 16 years of age to use the Site. By using the Site, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are applying as an influencer or creator, you must be at least 18 years old or have the consent of a parent or legal guardian.
4. Campaign Applications
When applying for campaigns through the Site, you acknowledge and agree that:
- All information provided in your application is accurate, complete, and up to date.
- Submitting an application does not guarantee selection for any campaign.
- Campaign details, including compensation, requirements, and timelines, are subject to change at the discretion of the brand partner.
- Undisclosed brand campaigns will be revealed to selected creators upon confirmation of participation.
- You may apply for a maximum of 5 campaigns at any given time through our multi-select application process.
- We reserve the right to reject any application at our sole discretion.
5. Creator Obligations
If you are accepted onto the Mosaic Collective roster or selected for a campaign, you agree to:
- Deliver content that meets the agreed-upon brief, quality standards, and deadlines.
- Comply with all applicable advertising standards and regulations, including the ASA CAP Code and FTC guidelines for sponsored content disclosure.
- Clearly disclose sponsored content using appropriate labels (e.g., #ad, #sponsored, paid partnership tags).
- Not engage in fraudulent activity, including the purchase of followers, engagement, or fake metrics.
- Maintain professional conduct in all communications with brands and the Mosaic Collective team.
- Not share confidential campaign details, brand information, or compensation terms publicly or with third parties without written consent.
6. Brand Enquiries
Brands submitting enquiries through the Site acknowledge that all information provided will be used to assess campaign feasibility and creator matching. Campaign proposals, budgets, and strategies shared during the enquiry process are treated as confidential. Formal campaign agreements will be governed by separate contracts between the brand and Mosaic Collective.
7. Media Uploads
By uploading media files (videos, images, documents) to the Site, you represent and warrant that:
- You own or have the necessary rights and permissions to upload and share the content.
- The content does not infringe upon any third party's intellectual property rights, privacy rights, or any other legal rights.
- The content does not contain unlawful, defamatory, obscene, or otherwise objectionable material.
- You grant Mosaic Collective a non-exclusive, royalty-free licence to view, store, and use the uploaded media solely for the purpose of evaluating your application or suitability for campaigns.
Files are stored securely and are not publicly accessible. We reserve the right to delete uploaded content at any time. Maximum file size is 50MB per file.
8. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, images, photographs, and design elements, is the property of Mosaic Collective or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site without our prior written consent.
9. Compensation
Regarding campaign compensation:
- Compensation details listed on the Site are indicative and may vary based on the creator's profile, reach, and negotiation.
- Where compensation is listed as “Undisclosed”, the amount will be communicated to selected creators during the screening process.
- Product gifting, where applicable, is in addition to any monetary compensation unless stated otherwise.
- Payment terms and schedules will be outlined in individual campaign contracts.
- Mosaic Collective is not liable for any payment disputes between creators and brand partners where a direct contract exists.
10. Limitation of Liability
To the fullest extent permitted by law, Mosaic Collective shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services. This includes, without limitation, loss of revenue, profits, data, or business opportunities.
The Site is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Site's availability, accuracy, reliability, or suitability for any particular purpose.
11. Indemnification
You agree to indemnify and hold harmless Mosaic Collective, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Site, your breach of these Terms, or your violation of any rights of a third party.
12. Termination
We reserve the right to suspend or terminate your access to the Site and our services at any time, without notice, for any reason, including but not limited to breach of these Terms. Upon termination, all provisions of these Terms that by their nature should survive will remain in effect.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
